Terms of Service

1. Acceptance of Terms

By accessing or using the Lizentia Website, you agree to these Terms of Service. If you do not agree, do not access or use the Website. If you are entering into these Terms on behalf of an organization, you confirm that you are authorized to bind that organization.

2. Definitions

Agreement

These Terms of Service and any signed engagement or master services agreement with Lizentia that incorporates them by reference.

Lizentia

Lizentia and its affiliates, contractors and authorized personnel providing the Services.

Client

The organization or authorized individual that has signed an engagement with Lizentia for Services.

Services

The technology, consulting, implementation, integration, migration, support and stewardship services Lizentia provides under a signed agreement.

Platform

Any software application, system, integration or digital product Lizentia designs, builds, configures or operates for a Client under the Services.

Deliverables

Materials, code, documentation, configuration, designs and work product Lizentia produces for a Client under the Services.

Website

The Lizentia marketing website at lizentia.com and any related digital presence Lizentia operates.

Authoritative Version

The executed contract or signed engagement agreement supersedes these Terms if the two conflict.

3. Lizentia Services

Lizentia provides technology, implementation and stewardship services to enterprise, public-sector and institutional organizations. Representative service categories include:

• Enterprise and public-sector platform design and build
• Workflow automation and business-process systems
• AI agents and search experiences
• Website and CMS modernization
• Systems integration and data migration
• Reporting and analytics
• Implementation methodology and delivery
• Managed support and platform stewardship

Specific Services are defined in each signed engagement agreement.

4. Not Legal, Tax or Regulatory Advice

• Lizentia is a technology firm, not a law firm, accounting firm or regulatory body.
• The Website does not provide legal advice and no attorney-client relationship is created by using it.
• Compliance and regulatory interpretations are configured per the Client's authorized instructions.
• Clients remain responsible for their own legal, regulatory and policy determinations.

5. Use of the Website

The Website is provided for informational purposes. You agree not to:

• Misrepresent affiliation with Lizentia
• Use the Website for unlawful purposes
• Scrape or resell content without permission
• Introduce harmful code or automated abuse
• Interfere with security or operation
• Attempt unauthorized access
• Copy proprietary design elements
• Publish false or misleading statements about Lizentia

6. Engagement Terms

• Both the Website and signed engagements are governed by these Terms.
• A signed Client agreement is the authoritative contract and supersedes these Terms where they conflict.
• Website access is informational only and does not constitute an offer to contract or a binding proposal.
• Procurement responses and proposals remain valid only through the period stated in the proposal.

7. Client Responsibilities

Clients are responsible for:

• Providing accurate information and timely decisions
• Supplying access to systems and personnel
• Defining requirements and priorities
• Reviewing deliverables within agreed cycles
• Maintaining compliance with applicable laws
• Securing their own credentials and environments
• Ensuring data is legally shareable
• Naming a qualified project owner
• Approving scope changes before work proceeds
• Complying with the integration partners' terms

8. Fees and Payment

• Fees are defined only in the signed engagement agreement.
• The Website does not publish prices or fees.
• Deposits, milestones and final billing are governed by the signed contract.
• Late-payment consequences, if any, are defined in the signed contract.
• Taxes and expense reimbursement are governed by the signed contract.
• Change requests may affect scope and fees under the contract.

9. Delivery Timelines

• Timelines are defined in the signed agreement.
• Lizentia does not guarantee any universal delivery period.
• Client dependencies may affect timelines.
• Scope changes may reset affected schedules.
• Third-party systems may introduce delays.

10. Intellectual Property

• Pre-project deposit terms defined by contract
• Background IP retained by Lizentia under license
• Foreground IP (custom deliverables) governed by the signed agreement
• Third-party components remain under their own licenses
• Client materials remain Client property

11. License to Use Platform

If a Platform is delivered to a Client, Lizentia grants the Client a limited, non-exclusive, non-transferable license to use the Platform for the Client's internal business purposes during the term of the signed agreement. This license is governed entirely by the signed agreement, and no rights are granted by implication, estoppel or otherwise on the Website.

12. AI Features and Data

Any AI search, agents or generative features are provided as productivity tools. AI output may be inaccurate and must not be relied upon as legal, medical, regulatory or financial advice. Client governance configuration controls whether Client data is used for model training or indexing. These settings apply only when configured in the deployed system, not as a blanket representation on the Website.

13. Third-Party Systems

Platforms may integrate with third-party systems licensed separately under their own terms. Lizentia is not responsible for third-party system availability, changes, licensing restrictions, or data practices. Clients remain responsible for maintaining their own third-party licenses and complying with those vendors' terms.

14. Client Data

Clients retain all rights in their data. Lizentia processes Client data only as necessary to deliver the Services under the signed agreement, and in accordance with applicable data-protection requirements. Data processing, residency, retention and deletion are governed by the signed agreement and the Privacy Policy, with Customer-specific settings configured during deployment.

15. Compliance Configuration

Lizentia does not make binding legal or regulatory determinations. Compliance workflows are configured to the Client's authorized instructions. Where Lizentia represents compliance status, those representations are limited to the explicitly confirmed scope and are not blanket certification claims. Clients remain responsible for interpreting and validating their own regulatory obligations.

16. Confidentiality

• NDA governs confidential information exchanged during engagement.
• Public Website content is not confidential information.
• Confidentiality survives the end of the engagement.
• Lizentia reserves standard equitable remedies.

17. Warranty Disclaimer

The Website and any Services are provided on an "as is" and "as available" basis, except to the extent expressly warranted in a signed agreement. Lizentia does not warrant that the Website or any Platform will be error-free, uninterrupted, or free of harmful components. Any express warranties are limited to those stated in the signed engagement agreement.

18. General Disclaimer

Lizentia does not represent that any Platform complies with every applicable regulation, does not provide legal advice, and does not guarantee specific business or financial outcomes. Procurement materials describe capabilities and approaches, not guaranteed results.

19. Limitation of Liability

To the maximum extent permitted by law, Lizentia is not liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from the Website or Services. Any aggregate liability is limited as defined in the signed engagement agreement. Where no signed agreement exists, liability for use of the Website is limited to the maximum extent permitted by applicable law.

20. Indemnification

Each party indemnifies the other as defined in the signed engagement agreement. For Website use, you agree to indemnify Lizentia from claims arising from your misuse of the Website, your infringement of third-party rights, or your violation of these Terms.

21. Termination

Lizentia may suspend or terminate access to the Website for breach of these Terms. Client engagements are terminated in accordance with the signed agreement, including any wind-down, data-return and survival provisions defined there.

22. References and Outcomes

• Representative references may be used with permission or when publicly available.
• Performance results are illustrative, not guaranteed.
• Clients may request an alternative reference approach in the signed agreement.

23. Liquidated Damages

Any liquidated damages, penalties or service credits apply only when expressly included in a signed engagement agreement. Lizentia does not publish or commit to liquidated damages on the Website.

24. Changes to These Terms

Lizentia may update these Terms from time to time. The "Last updated" date reflects the most recent revision. Continued use of the Website after changes constitutes acceptance of the updated Terms. Material changes affecting signed engagements are governed by the change-control provisions of the relevant signed agreement.

25. Governing Law

These Terms are governed by the laws of the jurisdiction defined in the signed engagement agreement, or, where no signed agreement exists, by the laws of the jurisdiction in which Lizentia's contracting entity is organized. Disputes are resolved in the courts of that jurisdiction unless the signed agreement specifies arbitration or another forum.
